Website Terms
1. Scope
These Website Terms apply to the public website operated by Bennico LLC d/b/a Kodiak. Viewing the website does not create a customer subscription or provide access to Kodiak software. Customer platform access is governed only by an executed agreement or recorded in-product acceptance.
2. Demo and information requests
Submitting a demo or information request authorizes Bennico to respond using the contact information provided. It does not create a subscription, guarantee availability or pricing, or authorize marketing text messages. SMS consent must be obtained separately through the disclosure for the identified program.
3. Permitted website use
Use the public website only for lawful informational and business-evaluation purposes. Do not probe, disrupt, overload, scrape, or circumvent website security or access controls; introduce malicious code; attempt unauthorized access; impersonate another person; submit deceptive information; interfere with another visitor; or copy or misuse Kodiak branding, content, or software except as permitted by law or written authorization.
4. Informational content and external services
Public descriptions, demonstrations, availability, and pricing are informational and may change. A signed customer agreement controls any commitment. Links or embedded services supplied by other businesses may be governed by their own terms and privacy notices.
5. Ownership, disclaimers, and liability
Bennico and its licensors own the public site, Kodiak branding, and site content, excluding third-party materials. To the extent permitted by law, the site is provided as available without implied warranties. Bennico is not liable for indirect, incidental, special, punitive, or consequential loss arising solely from use of the public website. Nothing here excludes liability that cannot lawfully be excluded.
6. Privacy and communications
The Privacy Policy, Privacy Choices, and SMS Terms are available through https://runkodiak.com/policies. SMS consent is separate and is not a condition of renting, purchasing, or receiving service.
7. California law and contact
California law governs these Website Terms, excluding conflict-of-law rules. A dispute concerning only the public website that is not governed by another agreement must be brought in an appropriate state or federal court in San Francisco County, California, to the extent permitted by law. Privacy Policy
1. Scope and roles
This Policy applies to Bennico LLC d/b/a Kodiak ("Bennico," "Kodiak," "we," or "us"). For operator-submitted tenant, prospect, employee, facility, and account information, the storage operator generally determines the business purpose and Bennico processes information to provide Kodiak. For our website, security, product administration, business contacts, and independently sourced Kodiak Lead Data, Bennico may determine the purposes and means of processing. Facility-specific questions should be directed to the applicable operator.
Kodiak is intended for use in the United States.
2. Categories of information we collect
- Identifiers and contact data: name, business affiliation, postal address, email address, phone number, account identifier, username, and similar identifiers.
- Facility, rental, and account data: facility, unit, inquiry, reservation, move-in, lease, tenant, balance, delinquency, payment status, insurance or protection-plan evidence, maintenance request, access status, and operator notes or decisions.
- Commercial and transaction data: services considered or obtained, pricing, invoices, payment-provider metadata, transaction status, refunds, disputes, and accounting references. Kodiak does not store full payment-card numbers, CVCs, or bank credentials.
- Communications and consent evidence: email, SMS, call metadata, approved recordings or transcripts, support requests, message content, delivery events, opt-in source, disclosure version, timestamps, opt-outs, suppression records, and complaint records.
- Integration data: mailbox identity, provider account identifiers, message or document metadata, signature status and audit evidence, accounting-system references, and connection or revocation state.
- Device, network, and usage data: IP address, browser and device information, timestamps, page and feature activity, authentication events, diagnostics, logs, and security signals.
- Kodiak Lead Data: property and listing details, owner or business names, mailing addresses, telephone and email reference data, provider record identifiers, source, confidence, freshness, permitted uses, and suppression status.
- Derived information: lead scores, classifications, recommendations, summaries, facility metrics, and aggregated or deidentified service information.
3. Sources of information
We obtain information from:
- You, your device, and your interactions with Kodiak.
- The storage operator, its authorized users, and its imported systems or files.
- Payment, communications, eSignature, identity, accounting, hosting, security, and support providers.
- Public records, property and listing sources, licensed data providers, and business directories.
- Other people or organizations that lawfully direct information to Kodiak.
4. Why we use information
- Provide and secure accounts, public rental pages, operator workflows, tenant services, and support.
- Respond to inquiries and support leases, payments, signatures, communications, and maintenance activity.
- Connect and synchronize customer-authorized communications, payment, accounting, and electronic-signature services.
- Source, verify, score, refresh, suppress, license, and support lawful facility-relevant business leads.
- Authenticate users, prevent abuse and fraud, troubleshoot, monitor reliability, and investigate incidents.
- Measure and improve Kodiak using bounded analytics, testing, aggregated information, and product feedback.
- Administer contracts, billing, taxes, records, rights requests, litigation holds, and legal obligations.
- Send communications requested or permitted by the recipient, operator, contract, or applicable law.
5. How we disclose information
We may disclose relevant information to:
- The storage operator associated with an inquiry, facility, lease, account, or authorized workflow.
- Service providers that host, secure, support, communicate, process payments, or operate enabled integrations.
- Operator-authorized communications, payment, accounting, and electronic-signature services.
- Kodiak operator customers that license selected Kodiak Lead Data for permitted business-development use.
- Professional advisors, auditors, insurers, financing sources, and transaction counterparties under safeguards.
- Government agencies or other parties when required by law or reasonably necessary to protect rights and safety.
We disclose relevant information to categories of contracted services that support hosting, communications, payments, signatures, accounting, security, support, and operations; to operator-authorized recipients; and to independent recipients where described in this Policy. We do not publish vendor names, planned integrations, provider readiness, or system architecture on the open website. Current customer-data processor information is provided to customer administrators through contracting, direct notice, or an authenticated customer channel.
6. Kodiak Lead Data and sale or sharing
Bennico does not sell or license an operator's Customer Data, customer relationships, messages, leases, payment activity, or SMS consent records to unrelated operators. Bennico may license selected Kodiak Lead Data that Bennico independently sourced or lawfully licensed to operator customers for facility-relevant business-development purposes. Depending on the applicable state law and the arrangement, that licensing may be treated as a "sale" or similar disclosure even when no money is exchanged for a particular record.
We do not knowingly sell or share personal information of people under 16, and we do not use Kodiak Lead Data for cross-context behavioral advertising. Where applicable law provides a right to opt out of sale, sharing, targeted advertising, or profiling, submit a request through https://runkodiak.com/policies#privacy-choices. We may retain a minimum suppression record after an opt-out or deletion so the information is not reacquired, relicensed, or used for contact.
7. SMS and mobile-information privacy
If you provide a mobile number and separately opt in, the identified storage operator and Kodiak as its service provider may send messages for the campaign described at collection. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent is not a condition of renting or purchasing.
We do not sell, rent, or share mobile numbers, SMS opt-in data, or messaging consent with third parties or affiliates for their own marketing or promotional purposes.
Information may be disclosed to contracted services only as necessary to deliver and support the requested messaging, maintain suppression, prevent abuse, and comply with law or carrier requirements. See the SMS Terms at https://runkodiak.com/policies#sms-terms.
8. U.S. privacy rights
Depending on your state and Bennico's legal obligations, you may have rights to confirm processing; know or access personal information; correct inaccuracies; delete information; obtain a portable copy; opt out of certain sales, sharing, targeted advertising, or qualifying profiling; limit or consent to certain sensitive-information uses; obtain information about automated decisions; request a list of specific third parties in Oregon or Minnesota; and appeal a denied request. You will not be discriminated against for exercising an applicable privacy right. Comprehensive state privacy laws currently in effect include laws in California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, and Virginia; narrower privacy, security, data-broker, communications, consumer-health, and breach laws may apply in other states.

Describe the request, state of residence, relevant contact identifiers, relationship to Kodiak, and whether you act as an authorized agent. We verify access, correction, and deletion requests proportionately; an opt-out request will not require verification unnecessary to identify the relevant record and prevent fraud. Facility Customer Data requests may be routed to the responsible operator. Authorized-agent, appeal, browser-signal, specific-third-party, response-time, and accessibility instructions appear in the Privacy Choices section.
8A. Sensitive data, consent, and deidentified data
Kodiak does not intend to collect sensitive personal data unless an enabled feature and the applicable relationship require it. Where law requires consent before processing sensitive data, the responsible controller must obtain valid consent and provide a withdrawal method. Bennico maintains and uses deidentified data only when it has taken reasonable measures to prevent association with a person, publicly commits to maintain the data in deidentified form, does not attempt to reidentify it except as legally permitted to test safeguards, and contractually requires recipients to follow applicable restrictions.
8B. Appeals and universal opt-out mechanisms
Where applicable law provides an appeal, submit it with the subject 'Privacy Appeal' to support@runkodiak.com. Where applicable law requires recognition of a universal opt-out mechanism, including Global Privacy Control, we treat a recognized signal as an opt-out request for the browser or device that sends it.
9. California disclosures
This section is also our California Notice at Collection. The categories collected are identifiers and contact data; commercial and transaction data; internet, device, and usage data; geolocation inferred from facility or property addresses; communications and consent evidence; professional or business information; account and integration data; and inferences or derived information. Sources, purposes, retention criteria, and recipient categories are described in Sections 2 through 5 and 12. In the preceding 12 months, these categories may have been disclosed to service providers and operator-authorized providers for the business purposes described here. Bennico's licensing of independently sourced identifiers, contact information, commercial information, professional or business information, inferences, and property or listing data to operator customers may constitute a sale if Bennico is subject to California law. Bennico does not sell operator Customer Data or mobile numbers and SMS consent data.
California's separate data-broker rules may apply when a covered business knowingly collects and sells personal information of consumers with whom it has no direct relationship. Bennico will not activate or continue activity that requires California data-broker registration unless the required registration, DROP access and deletion process, disclosures, metrics, fees, and other then-applicable obligations are in place. California consumers may use https://privacy.ca.gov/data-brokers/ where Bennico is listed as a registered data broker. Bennico does not offer a financial incentive or price or service difference for collection, sale, or deletion of personal information unless it first provides the legally required notice and obtains any required consent.
10. Browser signals, cookies, and other collection
Kodiak uses necessary storage and similar technology for authentication, security, preferences, and service operation. Kodiak is not currently designed for cross-site behavioral advertising. Legacy "Do Not Track" signals are not standardized, and Kodiak does not respond differently to them. Where applicable law requires recognition of an opt-out preference signal, Bennico treats a recognized signal, including Global Privacy Control, as applying to sale, sharing, or targeted advertising for the browser or device that sends it. Submit a Privacy Choices request to identify records that cannot reasonably be linked to that browser or device. Enabled providers may collect information as described in their own notices.
11. Security
We use administrative, technical, and organizational safeguards designed for the nature of the information, including access controls, encryption in transit and at rest where supported, environment separation, provider credential protections, logging, backups, and incident procedures. No system is completely secure. Please report suspected security issues to support@runkodiak.com and do not include secrets or unnecessary personal information in an initial report.
12. Retention and deletion
We retain each category only as reasonably necessary for the disclosed purpose, considering account and contract duration; operator instructions; the sensitivity, amount, and risk of the data; source-license terms; consent, complaint, and suppression evidence; lead accuracy and freshness; security and audit needs; payment, tax, and contractual records; disputes and legal holds; applicable statutes of limitation; and provider and backup lifecycles. When no longer required, active records are deleted, deidentified, returned, or restricted, while access-restricted backups expire through their ordinary lifecycle. A minimal suppression or deletion-receipt record may remain when reasonably necessary to honor a choice, prevent reacquisition, secure the service, or comply with law. Bennico's detailed retention schedule is an internal operational standard, not a public promise of a fixed period for every record.
13. Children
Kodiak is intended for businesses and adults managing self-storage relationships and is not directed to children under 13. We do not knowingly collect personal information directly from children under 13 through public Kodiak services, and we do not knowingly sell or share personal information of people under 16. Operators must not submit children's data unless an approved workflow, lawful basis, and required parental or guardian consent are in place. Contact us if you believe a child provided information without appropriate authority.
14. Changes and contact
We may update this Policy to reflect product, provider, legal, or operational changes. We will post a revised effective date and provide additional notice or obtain consent where required. Questions, privacy requests, and appeals may be sent to support@runkodiak.com. Do not send full payment credentials, passwords, or highly sensitive identity documents by ordinary email.
15. Accessibility and translations
This Policy is intended to be reasonably accessible to people with disabilities. Contact support@runkodiak.com for a reasonable accommodation or language assistance. If Kodiak provides a covered product or service in another language, Bennico will provide the legally required privacy notice in that language before relying on the translated service.

Available requests
- Know or access personal information and relevant source, purpose, recipient categories, and—where Oregon or Minnesota law applies—a list of specific third parties to which personal information was disclosed.
- Correct inaccurate personal information.
- Delete personal information, subject to lawful exceptions and suppression needs.
- Obtain a portable copy where applicable.
- Opt out of applicable sale, sharing, targeted advertising, or qualifying profiling.
- Limit applicable sensitive-personal-information uses.
- Appeal a denied privacy request where state law provides an appeal right.
- Submit an authorized-agent request with proof of authority.
- Withdraw consent where consent is the legal basis for processing, without affecting processing that was lawful before withdrawal.
- Opt out through a legally recognized universal opt-out mechanism or browser signal where it applies to the relevant browser or device.
- Request review of a decision made using qualifying profiling or automated processing where applicable law grants that right.
How to submit
Use https://runkodiak.com/policies#privacy-choices or email us. Include the request type, state of residence, name, identifiers reasonably necessary to locate the record, relevant storage operator or facility, and enough detail to understand the request. Do not provide more information than necessary.
Email a privacy request to support@runkodiak.com. We will confirm receipt and provide a reference or other practical means to follow the request.
You may also write to PO Box 29045, San Francisco, CA 94129. Email and postal requests are documented and routed to the applicable operator when the operator controls the requested Customer Data. Expect a delay in any write request.
Lead Data opt-out and suppression
To opt out of licensing or use of Kodiak Lead Data where applicable, identify the name, addresses, email addresses, and telephone numbers reasonably necessary to match the record. We will not require identity verification that is unnecessary for an opt-out request, although we may request information needed to identify the relevant record and prevent fraud. A completed deletion or opt-out may leave a minimal suppression record so Bennico does not reacquire, relicense, or use the information for contact. If Bennico is required to register as a California data broker, California consumers may also submit a request through the California Delete Request and Opt-Out Platform at https://privacy.ca.gov/data-brokers/.
SMS opt-out
Reply STOP to the message thread for the fastest SMS opt-out. You may also email us, but include the relevant mobile number, operator or facility, and program. Reply HELP for program help. An SMS opt-out does not necessarily close a storage account or stop legally required non-SMS notices.
Authorized agents
An authorized agent may submit a request when applicable law permits. We may require signed permission, proof of registration where required, direct confirmation from the consumer, or a valid power of attorney. For an opt-out request, we will use only the verification reasonably necessary to confirm the agent's authority and identify the relevant record.
Browser and universal opt-out signals
Where applicable law requires it, Kodiak treats a legally recognized opt-out preference signal, including Global Privacy Control, as a request to opt out of sale, sharing, or targeted advertising for the browser or device sending the signal. An authenticated request may be needed to extend the choice to records that cannot reasonably be linked to that browser or device.
Specific third-party lists
Oregon and Minnesota residents may request a list of specific third parties to which their personal data was disclosed, as provided by applicable law. If Bennico does not maintain consumer-specific disclosure records in the required form, it may provide the alternative list permitted by law.
Verification, timing, and appeals
We verify requests proportionately and will not use verification information for unrelated purposes. Where a 45-day response period applies, we will respond within that period or provide notice of a permitted extension; another period controls when required by the applicable law. We ordinarily provide rights responses without charge, but may charge or decline requests only when law permits, such as manifestly unfounded, excessive, or repetitive requests. If a request is denied or limited, we will explain the material reason and available appeal method. Submit an appeal with the subject 'Privacy Appeal' to support@runkodiak.com within a reasonable period after the decision. If an appeal is denied, we will provide the applicable regulator or attorney-general complaint method where required.

If you cannot use the available request methods because of a disability or need reasonable language assistance, contact support@runkodiak.com and describe the accommodation needed without including unnecessary sensitive information.

Messaging program
SMS Terms
1. Program and sender
The sender identified at opt-in is the participating storage operator. Bennico LLC d/b/a Kodiak provides the Kodiak technology and may support delivery, consent evidence, suppression, and customer service. Every initial message and recurring program will identify the applicable sender as required. Programs may include rental inquiries, reservations, move-in coordination, account notifications, payment reminders, maintenance, customer care, or separately disclosed marketing or lead-nurture messages. Transactional consent does not by itself authorize marketing messages.
2. Opt-in and proof of consent
You opt in only through the affirmative method described at collection, such as an unchecked web checkbox, signed agreement, or recognized opt-in keyword that satisfies the applicable campaign and law. The disclosure identifies the sender, message subject, expected frequency, recurring or automated nature where applicable, message-and-data-rate notice, and how to opt out and obtain help. The operator and Kodiak may retain the disclosure version, source, date, time, campaign, phone number, IP address or other relevant event evidence, and proof of consent for the legally required period. Each operator must use its own approved brand and campaign registration when required; consent obtained for another business cannot be reused.
3. Frequency and charges
Message frequency varies based on your selected program, inquiry, account activity, and interactions. Unless the collection disclosure states a fixed frequency, messages are recurring and may be sent when relevant to the program. Messages will be sent only during hours permitted by applicable federal and state law and carrier rules, using the most restrictive rule reasonably identified for the recipient. Message and data rates may apply. Your carrier's terms and charges control your wireless service.
4. Opt-out and help
- Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, or other reasonably understood revocation language to unsubscribe from the applicable sender or program.
- We also honor other legally recognized revocation language when reasonably understood as an opt-out.
- We will honor a reasonable revocation promptly and no later than the period required by applicable law. You may receive one prompt final message confirming the opt-out; it will not contain marketing content or attempt to persuade you to opt back in.
- Reply HELP for help or email support@runkodiak.com.
- After opting out, messages will not resume unless you provide a new valid opt-in.
Opt-outs apply to the sender and message subject required by applicable law and may also apply at the campaign, Messaging Service, subaccount, or telephone-number level. Where a revocation reasonably covers multiple consent-based message types from the same sender, the sender and Kodiak will honor that scope as required by law. The operator and Kodiak may maintain suppression records and synchronize them across applicable sending systems.
5. Mobile-information privacy
Mobile numbers, SMS opt-in data, and messaging consent are not sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.
Information may be disclosed to contracted services only as needed to deliver and support the requested messages, maintain opt-outs, prevent abuse, and comply with law or carrier requirements. See the Privacy Policy at https://runkodiak.com/policies#privacy.
6. Delivery and supported service
Wireless carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed and can be affected by network availability, device settings, carrier filtering, changed numbers, outages, or provider rules. Not all carriers, devices, or message formats are supported. SMS is not an emergency service and should not be used for urgent threats to life, safety, property, or facility security. If you change, transfer, deactivate, or stop using the mobile number, promptly opt out and notify the applicable operator so messages are not sent to a reassigned number.
7. State and program-specific terms
The opt-in disclosure, identified sender, program purpose, message frequency, and any state-specific notice are part of these Terms. A participating operator may impose additional lawful terms for its program, but may not reduce a recipient's federal, state, carrier, or privacy rights. Kodiak and each operator must maintain operational controls for applicable quiet hours, frequency limits, reassigned numbers, do-not-call requirements, campaign registration, consent evidence, revocation, and complaints.
8. Changes and contact
We may update these SMS Terms by posting a new effective date and providing additional notice or consent where required. The program-specific disclosure and applicable operator identity remain part of these terms. For facility-specific questions, contact the identified operator. Terms of Service
1. Agreement and eligibility
These Terms are a binding agreement between you and Bennico LLC d/b/a Kodiak ("Bennico," "Kodiak," "we," or "us"). By accessing Kodiak, creating an account, submitting a rental inquiry, or using a Kodiak-powered workflow, you accept these Terms. You must be at least 18 years old and legally able to enter this agreement. If you act for an organization, you represent that you are authorized to bind it.
2. Kodiak's role and storage-operator responsibility
Kodiak provides software and related services for self-storage businesses. The applicable storage operator, not Bennico, controls facility availability, pricing, taxes, leases, access, insurance requirements, collections, lien actions, refunds, move-in decisions, and facility-specific communications unless an executed agreement expressly states otherwise. A storage operator's lease and policies are separate from these Terms. Kodiak does not provide legal, tax, financial, credit, insurance, or real-estate advice.
3. Accounts and authorized use
- Provide accurate and current information and protect your credentials and authentication devices.
- Use Kodiak only for your own lawful inquiry, account, facility, or authorized business purpose.
- Notify us promptly of suspected unauthorized access and cooperate with reasonable security measures.
- Do not share accounts, circumvent permissions, or access another operator's or person's information.
We may reject, suspend, or terminate access when reasonably necessary to protect users, operators, providers, Kodiak, or the public; investigate suspected misuse; comply with law or provider rules; or address nonpayment or a material breach.
4. Public rental, payment, and eSignature workflows
Listings, rates, availability, payment status, signature status, and similar information may be preliminary until confirmed by the storage operator and applicable provider. Payment services and electronic signatures may be supplied by disclosed providers. Kodiak does not store full payment-card or bank credentials. A redirect, preview, draft, or pending provider status is not proof of payment, lease execution, unit occupancy, or account resolution.
5. Communications and SMS
Email, voice, and text-message features are subject to separate disclosures, consent requirements, sender and carrier rules, and the applicable operator's instructions. SMS consent is voluntary and is not a condition of renting a unit or purchasing a service. 6. Customer Data
As between Bennico and a subscribing operator, the operator retains its rights in data submitted by or for that operator and data generated from its tenant, prospect, facility, and operational activity ("Customer Data"). Bennico receives a limited right to host, process, secure, support, and improve the service using Customer Data as permitted by the applicable business agreement and Privacy Policy. Bennico does not add Customer Data to its cross-customer lead database or use one operator's customer relationships to target another operator's prospects.
7. Kodiak Lead Data
Bennico may independently source or license property, listing, business, identity, and contact-reference data ("Kodiak Lead Data"). Bennico retains its rights in Kodiak Lead Data and may provide an operator a limited, nonexclusive, nontransferable right to use selected Lead Data during an active subscription for lawful business-development activities, subject to source restrictions and the applicable order form.
- Lead Data may be incomplete, stale, inaccurate, duplicated, unavailable, or subject to use restrictions.
- Identity or contact data does not establish consent, contactability, ownership, tenancy, or eligibility.
- No user may resell, publish, bulk export, reverse engineer, or build a competing data product from Lead Data.
- Lead Data may not be used for consumer reports or credit, housing, insurance, employment, benefits, or similar eligibility decisions unless Bennico expressly offers a separately reviewed regulated product.
- Users must independently comply with privacy, suppression, do-not-call, email, telemarketing, carrier, and consent requirements before contacting anyone.
8. Prohibited conduct
You must comply with the Acceptable Use Policy at https://runkodiak.com/policies/acceptable-use. Without limiting it, you may not interfere with the service; introduce malicious code; scrape or probe systems; bypass rate limits or access controls; send unlawful, deceptive, harassing, discriminatory, or unwanted communications; conceal sender identity; evade opt-outs; or use Kodiak to violate another person's rights.
9. Third-party services
Kodiak may interoperate with contracted or customer-authorized third-party services. An integration is available only when enabled and may be governed by the provider's own terms. We are not responsible for an external service outside our reasonable control. Current customer-data processor information is provided to customer administrators through contracting, direct notice, or an authenticated customer channel; a planned integration is not represented as active.
10. Artificial intelligence and recommendations
Kodiak may generate drafts, summaries, classifications, suggested prices, outreach, or workflow recommendations using automated systems. Outputs may be incorrect or incomplete and are not professional advice. The responsible operator must review consequential decisions and communications before acting. Kodiak does not authorize an AI system to make final legal, financial, housing, insurance, credit, employment, or access decisions.
11. Ownership and limited license
Bennico and its licensors own Kodiak, its software, interfaces, documentation, workflows, models, branding, improvements, and Kodiak Lead Data, excluding Customer Data and third-party materials. Subject to these Terms and any applicable order form, Bennico grants you a limited, revocable, nonexclusive, nontransferable license to access the service for its intended purpose. Feedback may be used without restriction if it does not reveal Customer Data or confidential information.
12. Service changes and beta features
We may modify the service and may identify features as preview, pilot, beta, or evaluation features. Those features may be incomplete, change without notice, and be suspended or discontinued. A signed business agreement controls any committed service level or support obligation.
13. Disclaimers
To the maximum extent permitted by law, Kodiak, Lead Data, beta features, and third-party integrations are provided "as is" and "as available." Bennico disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade. Bennico does not warrant uninterrupted operation, perfect security, regulatory compliance, lead accuracy, contactability, conversion, collection, occupancy, revenue, or a particular business outcome.
Some jurisdictions do not allow certain disclaimers, so these limitations apply only as permitted by law.
14. Limitation of liability
To the maximum extent permitted by law, Bennico and its affiliates, personnel, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, data, leads, business opportunity, or service interruption, even if advised that such damages were possible. Bennico's aggregate liability arising from the public services or these Terms will not exceed the greater of $100 or the amount you paid directly to Bennico for the affected service during the 12 months before the event giving rise to the claim.
A signed operator agreement may establish a different cap. Nothing in these Terms limits liability that cannot lawfully be limited.
15. Business-user indemnity
If you use Kodiak for a business, you will defend and indemnify Bennico and its affiliates, personnel, and suppliers against third-party claims and related losses arising from your Customer Data, facilities, communications, offers, leases, payment decisions, use of Lead Data, violation of law or provider rules, or breach of these Terms, except to the extent caused by Bennico's gross negligence or willful misconduct. A signed operator agreement may replace this provision.
16. Individual arbitration, class-action waiver, and jury notice
Informal resolution first. Before filing a claim, the claimant must send an individualized written notice describing the claimant, account, facts, requested relief, and contact information to support@runkodiak.com and PO Box 29045, San Francisco, CA 94129. The parties will try in good faith to resolve the dispute for 60 days. A limitations period is tolled during that period.
Individual arbitration. Except for the exclusions below, any dispute arising from Kodiak or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA). The Federal Arbitration Act governs this provision. AAA Consumer Arbitration Rules apply to an individual using Kodiak for personal purposes; AAA Commercial Arbitration Rules apply to a business. Hearings may be remote unless the arbitrator determines an in-person hearing is necessary. The arbitrator may award the same individualized remedies a court could award and must provide a reasoned written decision.
For every covered dispute submitted to arbitration, you and Bennico knowingly and mutually waive the right to have the dispute decided by a court or jury. For any claim that proceeds in court, each party also waives trial by jury to the fullest extent permitted by applicable law; this separate court waiver does not apply where governing law does not permit a pre-dispute jury waiver. Each party agrees to bring claims only in an individual capacity, not as a plaintiff or class member in a class, collective, consolidated, or representative proceeding. The arbitrator may not combine claims or award relief for anyone other than the individual claimant, except where applicable law requires otherwise.
Exclusions. Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or preliminary relief in court to protect intellectual property, confidential information, security, or systems. Claims for public injunctive relief and matters that applicable law says cannot be arbitrated may proceed in court after arbitrable issues are resolved.
30-day opt-out. You may opt out of the arbitration provision, class-action waiver, and arbitration-related jury waiver by emailing support@runkodiak.com within 30 days after first accepting these Terms. Include your name, account email, organization if applicable, and a clear statement that you opt out of Kodiak arbitration. Opting out will not affect other Terms or your ability to use Kodiak; the separate court jury waiver remains effective only to the extent permitted by applicable law.
Fallback and severability. If AAA cannot administer a dispute, the parties will select another nationally recognized administrator or ask a court to appoint one. If the class waiver is unenforceable for a particular claim or remedy, that portion will proceed in court and the remainder will be arbitrated. If the arbitration provision is otherwise unenforceable or validly opted out, the venue provision below applies.
17. California law and venue
These Terms are governed by California law, excluding conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state courts located in San Francisco County, California, and the United States District Court for the Northern District of California. Each party waives objections based on personal jurisdiction, venue, or inconvenient forum to the extent permitted by law.
18. Changes, notices, and general terms
We may update these Terms by posting a new effective date and, when required, providing additional notice or obtaining consent. Material changes apply prospectively. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without Bennico's consent; Bennico may assign them in connection with a reorganization, financing, sale of assets, or merger. These Terms and incorporated policies are the entire agreement for the public services unless a signed agreement controls.
Electronic acceptance records—including the version presented, date and time, account or transaction identifier, and affirmative acceptance event—may be retained to establish assent. Merely placing these Terms in a website footer does not replace an affirmative acceptance step where one is required.
